1. TERMS OF USE

1.1 This terms of use (together with the documents referred to in it) tells you the terms of use on which you may make use of our mobile application or web platform (our “Site”) as a registered user and are the terms and conditions on which the fee for joining leagues (“Joining Fee”) are accepted by us. For the purposes of these terms of use “League” shall be defined as the service we provide to our customers and the fee that they pay is to enter this service. Use of our site includes accessing, browsing, or opening an account and registering to use our site. The terms “Bet” and “Betting” shall be defined as the service we provide that is entered into by the customer by way of a Joining Fee.

1.2 Please read these terms of use carefully before you start to use our site and before you open an account (“Account”) with us and use the facilities that this Site provides, as these will apply to your use of our Site and will tell you who we are, how we will provide services to you, how you and we may change or end the contract, what to do if there is a problem and other important information. We recommend that you print a copy of this for future reference. 

1.3 By using our Site and/or by opening an Account and/or by using the services available, you confirm that you accept these terms and conditions and that you agree to comply with them. For the avoidance of doubt, your use of the services which we provide will constitute acceptance of these terms and conditions, to include any amendments thereto.

1.4 If you do not agree to these terms and conditions, you must not use our Site.

2. OTHER APPLICABLE TERMS

These terms of use refer to the following additional terms, which also apply to your use of our Site:

2.1 Our Privacy Policy, which sets out the terms on which we process any personal data we collect from you, or that you provide to us. By using our Site, you consent to such processing and you warrant that all data provided by you is accurate. 

2.2 Our Acceptable Use Policy, which sets out the permitted uses and prohibited uses of our Site. When using our Site, you must comply with this Acceptable Use Policy.

2.3 Our Cookie Policy, which sets out information about the cookies on our Site.

2.4 Our KYC/ AML Policy, which sets out information about the Know Your Client and Anti-Money Laundering Policies on our Site.

3. INFORMATION ABOUT US

3.1 Our Site is operated by Who Knows Wins Ltd (“We/ WKW”). We are registered in England and Wales under company number 09261438 and have our registered office at Who Knows Wins Limited, c/o Capital Law Limited, Capital Building, Tyndall Street, Cardiff CF10 4AZ.

3.2 We are a limited company.

3.3 WKW has a license granted and updated by the United Kingdom Gambling Commission on 30 November 2018, Licence Number 000-043397-R-322936-005. Under legislation in the United Kingdom, online gambling debts are enforceable in law in the United Kingdom.

4. CHANGES TO THESE TERMS

4.1 We may revise these terms of use at any time by amending this page.

4.2 Amendments to these terms may be for a number of reasons including (without limitation) for commercial reasons, to comply with law or regulations, to comply with instructions, guidance or recommendations from a regulatory body, or for customer service reasons. 

4.3 We will notify members of any changes that have been made, as they are binding on you. 

5. CHANGES TO OUR SITE

5.1 We may update our Site from time to time and may change the content at any time. However, please note that any of the content on our Site may be out of date at any given time, and we are under no obligation to update it.

5.2 We do not guarantee that our Site, or any content on it, will be free from errors or omissions.

6. REGULATION 

We may be required to suspend or terminate the services due to regulatory or legal requirements or the requirements of the United Kingdom Gambling Commission.

7. YOUR ACCOUNT AND PASSWORD

You must be over 18 years of age to create an Account on our Site and to join a League. 

7.1 In order to register an Account with us you hereby agree, warrant and represent that:

7.1.1 you are a resident of the United Kingdom; and

7.1.2 you are at least 18 years of age.

7.1.3  We reserve the right to ask for proof of age and proof of residential address from any customer and customer accounts may be suspended until satisfactory proof is provided. We are obliged to inform you that underage gambling is an offence;

7.1.4 you are entirely responsible for complying (and that you comply) with the laws of England and Wales concerning betting and gaming prior to opening an Account, and paying the Joining Fee and thereafter placing any bets, stakes or wagers within the League (together “Bets”) or using the services;

7.1.5 you are legally capable of entering into binding contracts, including these terms of use and each subsequent Bet (which shall be governed by these terms of use);

7.1.6 you are not prohibited for any reason from betting with us or from using the services; and

7.1.7 you have not excluded yourself, and neither we nor any other operator has excluded you from gambling.

7.2 WKW shall not be liable for any breach of any local laws that may occur as a result of your using the services.

7.3 In the event that you are found to have breached any of the terms in this section:

7.3.1 we may cancel any Bet you may have placed;

7.3.2 we shall not be obliged to pay any winnings which might otherwise have been payable in respect of any Bet you placed;

and

7.3.3 we may refer the matter to the police or any other appropriate regulatory authority.

8. OPENING AN ACCOUNT

8.1 When opening an Account, you are required to choose your own username and password. It is your responsibility to ensure that these details are kept private, as you are responsible for all Bets accepted within a League on your Account. If you lose or forget your username and/or password, or if you are concerned that a third party is aware of them, you should change your password details immediately. 

8.2 WKW will not be liable for any loss that you may incur as a result of misuse of usernames or passwords or from any unauthorised use of your Account, whether fraudulent or otherwise. You agree to indemnify us and hold us harmless against any costs, claims, damages and expenses arising in connection with the use of, or access to, your Account by any third party as a result of your negligence, breach of these terms of use, fraud, dishonesty or criminal activities.

8.3 We are required by law to verify your name, age and residential address prior to allowing you to place bets or deposit funds to your Account. You may also be required to provide the following as part of the verification process: 

8.3.1 A copy of your driver’s license or passport with photograph or alternative government ID; or

8.3.2 A current copy of a bank statement or utility bill (not less than 3 months old) as a means of proof of residential address.

8.3.3 If documents are not received due to an invalid email address on our system, or lack of response from you, we reserve the right to cancel all Bets placed by you. 

8.4 You are only permitted to open one Account. If we discover that you have opened multiple Accounts we reserve the right to close all Accounts and cancel any outstanding Bets.

8.5 Your data will be passed to our third party supplier Credas Technologies Ltd to conduct an identity check on our behalf. They in turn use the Credit Reference Agency Equifax to provide some of the services required, whom you can read more about at https://www.equifax.co.uk/crain. In addition the data provider Experian Ltd provide some of services required.

9. JOINING A LEAGUE, PLACING BETS, PAYMENT AND WITHDRAWALS

9.1 To participate in a League, you shall pay the Joining Fee for that League as specified on the league information on the Site.

9.2 You agree to pay monies for the Joining Fee by our accepted deposit methods to an account with us in line with our procedures against which you shall be able to use our services. 

9.3 You are obliged to check that the Bet instructions you have submitted are correct before confirming the Bet. We reserve the right not to accept. 

9.4 We reserve the right to propose a different stake size or price for the selection on any Bet. 

9.5 Bets placed by a debit card, do not become valid until WKW has received payment. In the event that such payment is not forthcoming before the event that the Bet is on commences, then that Bet is automatically void. 

9.6 We do not accept Bets by post or e-mail. 

9.7 WKW staff cannot place Bets on behalf of customers. 

9.8 A Bet is deemed to be valid only following confirmation of acceptance, and the Bet being logged on our server. This acceptance is demonstrated with the generation of confirmation that you have joined the applicable League. 

9.9 We cannot be held responsible for a Bet not being placed for any reason, including but not limited to; computer malfunctions and failure of telecommunications services or internet connections. We will not honour Bets that have been submitted to us, but not confirmed in the manner described above. 

9.10 In the event that a sum is mistakenly credited to your Account, WKW shall be entitled to make the appropriate adjustment to/ from your Account. 

9.11 In the event that a sum is mistakenly credited to your Account, and this money is withdrawn, then you must reimburse the sum immediately upon request. 

10. BETTING 

10.1 Betting is the term used to place wagers on any event available on our Site.

10.2 We reserve the right to void any part of any, or all, Bets on any event that is not completed i.e. was abandoned or postponed for any reason, including but not limited to:

10.2.1 adverse weather conditions, injuries, or drop-outs;

10.2.2 where a blatant or palpable error is made in transmission

on any event on which we have purported to offer Betting, or;

10.2.3 where we have reasonable grounds to believe that a Bet is

placed after the outcome of an event is known, we reserve the

right to void the Bet.

10.3 Please note that WKW shall not be liable for any delay in relaying up-to-date information.

10.4 WKW may use seed betting in certain leagues at our discretion. The main purpose of this is to meet guaranteed pot sizes put up and no user entry data is used to gain an advantage.

11. WINNINGS & PAYMENT

11.1 WKW shall deduct a commission of the accumulated Joining Fees for each League following completion of the applicable Betting event.

11.2 The commission for each League is published on the Betting event screen and is calculated as being the difference between the total Joining Fees and the net winnings shown for each paid League finishing position. 

11.3 The final, total commission deducted for each League will be published on the Betting event screen once that event has commenced. 

11.4 Following the deduction of the commission, winnings will be credited to the winner’s Account(s) once all the results on the outcome of the Betting event have been published and finalised. 

11.5 Any withdrawal of funds from an Account must be made to the same debit card as used by the customer to pay the Joining Fee. In the event of this not being possible, payments will be made by cheque, bank transfer or cash in accordance with the personal details stored in the customer’s Account.

11.6 Please note that your bank can take up to 5 working days to return withdrawals to your debit card.

 

11.7 Any queries over a Bet claim should first be e-mailed to us. We will make every effort to resolve the matter in a mutually satisfactory manner. 

11.8 We may use your username and/ or first name and/ or initials and region and any winnings you may have had for advertising or promotional purposes without additional compensation.

12.CUSTOMER FUNDS

12.1 Customer funds are held separately from company funds in a client account separated from our normal business accounts.

12.2 Our licence from the UK Gambling Control Commission (“UKGC”) requires us to inform our customers about what happens to customer funds which we hold on account for them, and the extent to which such funds are protected in the event of insolvency. In the event of insolvency, customer funds are not protected.

13. RESPONSIBLE GAMBLING

13.1 Who Knows Wins provides a self-exclusion facility to help you if you feel that you have developed a gambling problem. For information on problem gambling generally, please follow the links at the bottom of this and/or other pages of the mobile application or our website (www.whoknowswins.com).

13.2 At your request, we will as soon as is reasonably practicable apply best practices to prevent you from using your Account indefinitely. To this end, we may retain such personal data as is necessary (and for as long as is necessary which may be indefinitely) to implement the facility as effectively as possible, including for example your name, address and debit card details.

13.3 Our self-exclusion facility involves a joint commitment between Who Knows Wins and you. We will take reasonable steps to prevent you re-opening your Account or opening a new Account but you must not attempt to re-open your Account or to try and open new Accounts. We shall not be liable if you circumvent our self-exclusion procedures and continue to use our Services or if you continue to gamble with any third party.

13.4 To activate our self-exclusion facility, please click on the “Leave Who Knows Wins” option within the Responsible Gambling sub-section of the Account Details section of this App, or contact customer services using the contact information on the bottom of this page.

13.5 If you feel you need a break from using our app, you can do so using our ‘Time Out’ facility, which enables you to set a period between 1 day and six whereby you will not be able to place deposits or enter leagues. This can be found within the Responsible Gambling sub-section of the Account Details section of the Mobile Application

13.6 If you would like to set a limit on the amount you can spend within a specified period, we offer the ability to set daily, weekly and monthly deposit limits within the ‘Responsible Gambling’ section of your account in the app. Any reduction in deposit limits takes effect immediately, however, any request to increase deposit limits will only take effect 24 hours after requested to incorporate a ‘cooling-off’ period. 14. INTELLECTUAL PROPERTY RIGHTS

14.1 We are the owner or the licensee of all intellectual property rights arising from our site, and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.

14.2 You may print off one copy, and may download extracts, of any page(s) from our site for your personal use and you may draw the attention of others within your organisation to content posted on our site.

14.3 You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.

14.4 Our status (and that of any identified contributors) as the authors of content on our site must always be acknowledged.

14.5 You must not use any part of the content on our site, including the use of WKW’s registered trademarks for commercial purposes without obtaining a licence to do so from us or our licensors.

14.6 If you print off, copy or download any part of our site in breach of these terms of use, your right to use our site will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

15. NO RELIANCE ON INFORMATION

15.1 The content on our site is provided for general information only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on our site.

15.2 Although we make reasonable efforts to update the information on our site, we make no representations, warranties or guarantees, whether express or implied that the content on our site is accurate, complete or up-to-date.

16. LIMITATION OF OUR LIABILITY

16.1 You hereby accept that by using the services, there is a risk that you may, as well as winning money, lose money. You agree that your use of the services is at your own risk and we accept no responsibility and shall not be liable for any consequences that are alleged to have occurred through your use, or misuse, of the services. You acknowledge that you have not relied on any statement, promise, representation, assurance or warranty made or given by or on behalf of WKW when opening an Account or placing a Bet.

16.2 Nothing in these terms of use excludes or limits our liability for fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under the laws of England and Wales.

16.3 To the extent permitted by law, we exclude all conditions, warranties, representations or other terms which may apply to our site or any content on it, whether express or implied. 

16.4 We will not be liable to any user for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:

16.4.1 use of, or inability to use, our site; 

16.4.2 use of or reliance on any content displayed on our site;

16.4.3 Failure of any equipment or software, wherever located or administered, or whether under our direct control or not, that may prevent the operation of our services, impede services, impede the placing of Bets or the acceptance of Bets, or prevent you from being able to contact us.

16.5 We will not be liable for:

16.5.1 loss of profits, sales, business, or revenue;

16.5.2 business interruption;

16.5.3 loss of anticipated savings;

16.5.4 loss of business opportunity, goodwill or reputation; or

16.5.5 any indirect or consequential loss or damage.

16.6 Our site is not for commercial use. Our site is for personal and private use only.

16.7 We will not be liable for any loss or damage caused by a virus, distributed denial-of-service attack, or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our site or to your downloading of any content on it, or on any website linked to it.

16.8 We assume no responsibility for the content of websites linked on our site. Such links should not be interpreted as endorsement by us of those linked websites. We will not be liable for any loss or damage that may arise from your use of them.

16.9 If and only to the extent that the above does not apply, the maximum liability of WKW arising out of or relating to the services and/or the terms of use to you arising out of or relating to the services and/or the terms of use, whether for breach of contract, tort (including negligence), or otherwise shall be limited to the average Joining Fee paid by the claiming customer in the previous six months.

17. INDEMNITY

You agree to indemnify and hold us and our subsidiaries, affiliates, officers, directors, agents and employees harmless from any liabilities, claims, losses or damages (including legal fees), caused as a result of your negligence or other fault, that may arise as a result of or in connection with inappropriate or unauthorised access to and use of the services by you or by anyone else using your username and password and/or breach by you of any of the terms and conditions of these terms of use.

18. OTHER USERS

18.1 Whenever you make use of a feature that allows you to make contact with other users of our site, you must comply with the content standards set out in our Acceptable Use Policy.

18.2 You warrant that any such contribution does comply with those standards, and you will be liable to us and indemnify us for any breach of that warranty. This means you will be responsible for any loss or damage we suffer as a result of your breach of warranty.

18.3 The views expressed by other users on our site do not represent our views or values.

18.4 You are solely responsible for securing and backing up your content.

19. VIRUSES

19.1 We do not guarantee that our site will be secure or free from bugs or viruses.

19.2 You are responsible for configuring your information technology, computer programmes and platform in order to access our site. You should use your own virus protection software.

19.3 You must not misuse our site by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to our site, the server on which our site is stored or any server, computer or database connected to our site. You must not attack our site via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our site will cease immediately.

20. LINKING TO OUR SITE

20.1 You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.

20.2 You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.

20.3 You must not establish a link to our site in any website that is not owned by you.

20.4 Our site must not be framed on any other site, nor may you create a link to any part of our site other than the home page.

20.5 We reserve the right to withdraw linking permission without notice.

20.6 The website in which you are linking must comply in all respects with the content standards set out in our Acceptable Use Policy.

21. THIRD PARTY LINKS AND RESOURCES IN OUR SITE

21.1 Where our site contains links to other sites and resources provided by third parties, these links are provided for your information only.

21.2 We have no control over the contents of those sites or resources. 

22. APPLICABLE LAW

As a consumer, please note that these terms and conditions, it’s subject matter and its formation, are governed by the laws of England and Wales. You and we both agree to that the courts of England and Wales will have exclusive jurisdiction. However, if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, and if you are resident of Scotland, you may also bring proceedings in Scotland.

23. DISPUTES & GOVERNING LAW

23.1 Should there be any claim or dispute relating to Bet(s), please Contact Us. Our procedures for complaints are set out in our Frequently Asked Questions (FAQs) on both the mobile application and our website www.whoknowswins.com. If we are unable to settle the dispute, we will refer the dispute to the following arbiters:

23.4 The arbiter’s decision will be final (save in respect of any manifest error) subject to full representation being given to all parties involved.

24. WHO KNOWS WINS KNOW YOUR CUSTOMER (KYC) & ANTI-MONEY LAUNDERING (AML) POLICY

All online gambling operators are required by law and via their licence codes and conditions to take steps to help ensure that gambling is fair and open, is not linked to crime, and promotes a safe gambling environment. This includes collecting customer information for age, identity, address and source of funds where necessary.

Our Verification Process

In order to prevent under age gambling and to verify your identity, we will, in accordance with Gambling Commission Licence regulations, check your name, address and date of birth to confirm your age and identity. This process will be automatically carried out during the sign up process. If for any reason the verification check is unsuccessful, we will notify you immediately and we will need to carry out further checks before you are able to deposit funds in to your account and place bets. In these instances we will request proof of ID in the form of a passport, driver’s licence or other recognised government issued document which can be scanned and uploaded for approval.

Should the ID document verification process fail, and in certain circumstances in line with our due diligence obligations we reserve the right to request further information in order to verify your identity and the source of funds you are using to place bets with. This could be in the form of:

  • Proof of earnings such as a payslip;

  • A bank statement/savings account that clearly shows consistent incoming values from an identifiable source;

  • A Trust deed clearly showing a consistent entitlement to funds;

  • Dated proof of an award/payment made to you;

  • Other clear evidence that would support “affordability” in relation to your business with us.

How will we use this information?

The information and documentation you provide to us will not be shared with any other businesses or passed to any third parties not involved in the verification process, but we may use this for our internal processes.

Your data will be handled in complete confidence and dealt with in line with our terms and conditions and privacy policy. 

Why do we ask for this information?

All betting and gaming operators licensed by the Gambling Commission have the same responsibility to conduct Know Your Customer checks and should as a minimum, verify your name, address and date of birth prior to allowing you to gamble.

The information we request not only satisfies our regulatory commitments but also protects our users from fraud, identity theft and under age gambling.

What if I don’t give you the information/documentation?

If you refuse to give us the relevant information or we are unable to make contact with you to request further documentation, your account will be restricted until we are able to obtain this. Unfortunately, further business may not be accepted if the requested information is not provided.

25. COMPETITION TERMS AND CONDITIONS

25.1 Competition runs during the time frame stated in the social media post(s)/email(s) where they are advertised

25.2 Competition entry requirements will be laid out in the social media post(s)/email(s) where they are advertised

25.3 Entrants must be aged 18 or over

25.4 Entrants must be registered users of Who Knows Wins and provide proof of this, to receive their prize(s)

25.5 Entrants must not be registered with GamStop, the Who Knows Wins Self-Exclusion function, or any other Self-Exclusion facility

25.6 Prizes are as stated in the social media post(s)/email(s) where they are advertised

25.7 Where a prize is promotional credit, this will be valid for thirty days from the time it is added to your account and it's expiration date will be visible to you in the Wallet section of the Who Knows Wins app

25.8 Who Knows Wins reserves the right to cancel a competition at any time

25.9 Who Knows Wins reserves the right to refuse to issue a prize, where reasonable grounds to do so exist

25.10 Entrants will only ever be contacted via an official Who Knows Wins social media channel, or via the email addresses marketing@whoknowswins.com and support@whoknowswins.com

25.12 Who Knows Wins employees and their family members can not enter competitions

25.13 ‘Guess the player’ & ‘Who am I’ competitions are only offered in the dates and times stated in communications. Winners will be drawn at random with Who Knows Wins holding the right to void prizes to individuals who are under the age of 18 or based in a location outside of the UK.

25.14 ‘Reward League(s)’ are offered to eligible players who have made an entry in the previous week (deemed to be an entry made between Monday at 00:00 and Sunday at 23:59).

The start time of the rewards league will vary each week with prize pots configurable by Who Knows Wins at anytime, the free reward entries are none-transferable.

25.15 Private League offers are valid for the time(s) specified in promotions with app credit processed within 5 working days following the expiry. Promotions apply once per player and only one instance whether a league creator or player.

26. EXCLUSIONS

26.1 Officers, directors, and employees of Who Knows Wins Ltd, members of these persons’ immediate families (spouses and/or parents, children, and siblings, and each of their respective spouses, regardless of where they reside), and/or persons living in the same households as these persons (whether or not related thereto) are not eligible to enter or win any public Who Knows Wins Leagues, or those of our partners.

26.2 Officers, directors, and employees of NBC Sports (as defined below), members of these persons’ immediate families (spouses and/or parents, children, and siblings, and each of their respective spouses, regardless of where they reside), and/or persons living in the same households as these persons (whether or not related thereto) are not eligible to enter or win any public Golf Pools. NBC Sports, as referenced herein, shall include NBC Sports Group, BRS Golf Limited, GolfNow LLC, SportsEngine Inc and SportsEngine (UK) Limited and each of their respective parent, subsidiary, and affiliate companies, and administrative, advertising, and promotion agencies.

27. Private League Promotions

27.1 To be applicable for a matched pot promotion a new private league must be created and include at least one new user.

27.2 Leagues are subject to a maximum pot match of £250 or £20 per user

27.3 Any league must be created and live before 11am Saturday 8th of October

27.4 When a league qualifies for the matched pot promotion the pot will be match before or during the league kick off

27.5 This promotion is viable across all sports available within the private league section of our app

27.6 WKW pot addition will be cash deposited directly into the pot and will not sit on the account as promotional credit

27.7 Maximum podium payouts - 3 user
